Terms of Service

Please read these terms carefully before using Outpace's services.

1. Service Description

Outpace provides AI-powered outplacement services (“Services”) to employer clients (“Clients”) and their employees (“Participants”). Our Services include AI career coaching, resume optimization, interview preparation, job matching, and related career transition support delivered through our web-based platform.

These Terms of Service (“Terms”) govern your access to and use of the Services. By accessing or using the Services, you agree to be bound by these Terms.

2. Account Registration and Access

Access to the Outpace platform is provisioned through your employer's outplacement agreement with us. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary. You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any purpose other than legitimate career transition activities
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the Services to harass, abuse, or harm others
  • Reproduce, modify, distribute, or create derivative works based on the Services without our permission
  • Use automated scripts or bots to access the Services without authorization
  • Misrepresent your identity or affiliation with any person or organization

4. AI-Generated Content

Our Services use artificial intelligence to generate career coaching advice, resume suggestions, interview feedback, and other content. While we strive for accuracy and helpfulness, AI-generated content is provided for informational and guidance purposes only.

Outpace does not guarantee the accuracy, completeness, or suitability of AI-generated content. You should use your own judgment and, where appropriate, consult with qualified professionals before making career decisions based on our recommendations.

5. Payment Terms

Fees for the Services are set forth in the service agreement between Outpace and the Client. All fees are quoted in US dollars unless otherwise specified.

Payment is due in accordance with the terms specified in the applicable service agreement. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

We reserve the right to modify our pricing with 30 days' written notice. Changes in pricing will not affect existing service agreements during their current term.

6. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content, are owned by Outpace and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose during the term of your access.

Content you create or provide through the Services (such as resume information and career history) remains your property. By using the Services, you grant Outpace a limited license to use this content to provide and improve the Services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Outpace and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from or related to your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the amount paid by the Client for the Services during the 12 months preceding the claim.

Outpace does not guarantee employment outcomes. While our Services are designed to support career transitions, we cannot ensure that any Participant will secure employment within a specific timeframe or at a specific compensation level.

8. Indemnification

You agree to indemnify, defend, and hold harmless Outpace and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your violation of these Terms, your use of the Services, or your violation of any rights of a third party.

9. Termination

Access to the Services is provided for the duration specified in the Client's service agreement. We may suspend or terminate access to the Services at any time if you violate these Terms or if required by law.

Upon termination, your right to access the Services ceases immediately. We will retain your data in accordance with our Privacy Policy and any applicable data retention obligations.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you should discontinue use of the Services.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language.

12. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Outpace regarding the Services.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
